1. Acceptance of Terms
By creating an account on or accessing The Pips Project (the Platform), you agree to be bound by these Terms of Service (Terms). If you do not agree to these Terms, you must not use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
2. Description of Service
The Pips Project is a cloud-based SaaS application that provides trade journaling, performance analytics, risk management calculators, Monte Carlo simulations, an AI confluence scanner, a macro economic news desk, and MetaTrader 5 trade synchronization. The Platform is offered on a subscription basis (monthly, annual, or lifetime) and is subject to availability.
3. Account Registration & Security
You must provide a valid email address and create a secure password to register. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law;
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Platform or any part thereof;
- Copy, reproduce, distribute, or create derivative works of the Platform's user interface, code, design, proprietary algorithms, MT5 Expert Advisor sync code, or any intellectual property;
- Use automated scripts, bots, scrapers, or any non-human means to access or interact with the Platform;
- Attempt to gain unauthorized access to the Platform's infrastructure, databases, servers, or other users' accounts;
- Resell, sublicense, or commercially exploit the Platform without express written permission;
- Upload malicious software, viruses, or any code designed to disrupt the Platform's operation.
5. Intellectual Property
All content, features, functionality, design elements, proprietary algorithms, source code, trade sync logic, documentation, and trademarks associated with the Platform are and shall remain the exclusive property of The Pips Project. No right, title, or interest in or to the Platform is transferred to you. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial trade journaling purposes.
6. User-Generated Content
You retain ownership of the trade data, notes, screenshots, and other content you input into the Platform. By using the Platform, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you. We will not sell, share, or monetize your trade data.
7. Service Availability & Uptime
We strive to maintain high availability but do not guarantee uninterrupted or error-free operation of the Platform. The Platform relies on third-party infrastructure providers and their respective uptime commitments. We shall not be liable for any downtime, data delays, or service interruptions caused by third-party providers, scheduled maintenance, force majeure events, or circumstances beyond our reasonable control.
8. Subscription & Billing
Access to the Platform requires a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) or as a one-time payment (lifetime). All fees are quoted in USD. Prices are subject to change with 30 days' prior notice. Failure to pay may result in suspension or termination of your account.
9. Account Termination
We reserve the right to suspend or permanently terminate your account, without prior notice or liability, for any reason including but not limited to violation of these Terms, fraudulent activity, abusive behavior toward our team, or any conduct we deem harmful to the Platform or its users. Upon termination, your license to use the Platform ceases immediately. We may, at our discretion, delete your account data within 30 days of termination.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Pips Project is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body.
11. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
